cheapaimodel API Terms of Service
Version v1 | Effective Date: 15 October 2026
Please read these Terms of Service ("Terms") carefully before registering for or using the cheapaimodel service. These Terms form a binding agreement between you and LINKOVA PTE. LTD. By ticking the acceptance box or clicking "Agree" when you create your account, you acknowledge that you have read, understood, and accepted all the contents of these Terms. If you accept these Terms on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" refers to that organisation. If you do not agree, please do not register for or use the Service.
1. Definitions and Scope of Application
1.1. Service Provider: "cheapaimodel," "we," "us" or "our" refers to LINKOVA PTE. LTD., a company incorporated in Singapore (UEN: 202631968R; registered address: 91 Bencoolen Street, #12-03, Sunshine Plaza, Singapore 189652), the operating entity of cheapaimodel.ai, which provides an OpenAI compatible artificial intelligence API aggregation and routing service and related functions.
1.2. User: an individual or organisation that registers an account and uses the cheapaimodel service, including individual developers and businesses that integrate the Service into their own applications and products.
1.3. Service: the API gateway that gives access to Upstream Models through a single API endpoint and API key, together with API key management, usage statistics and call logs, prepaid balance and billing management, and related technical support.
1.4. Upstream Model: an AI model made available by a third party model provider that you access through the Service. The Upstream Models available from time to time are as displayed on our website or console. "Upstream Provider" means the provider of an Upstream Model.
1.5. Input and Output: "Input" means the prompts, text, code, files, images and other content you submit through the Service. "Output" means the text, code, images, and other content returned by an Upstream Model in response to your Input.
1.6. Balance: the prepaid funds credited to your account for use of the Service.
2. Eligibility, Account Registration and Security
2.1. You must be at least 18 years old and have the legal capacity to enter into these Terms. You must provide accurate, complete and up to date registration information, including where you sign in through a third party login such as Google. Businesses must register in the name of their actual legal entity.
2.2. You are responsible for safeguarding your account credentials and API keys and must not disclose them to any third party. You are responsible for all activity and charges under your account and API keys, except to the extent caused by our failure to take reasonable security measures. We recommend using the per key controls available in the console, such as expiry dates, spending caps, and model and IP allowlists.
2.3. API keys are for your own use. You may integrate the Service into your own applications and products and make them available to your end users, provided that you remain responsible for their use and for their compliance with these Terms. You must not resell, sublicense, share, distribute or publicly release API keys, or offer standalone access to the Service (for example, as a relay, proxy or competing API reselling service), without our prior written consent. If we reasonably believe this Section has been breached, we may suspend or terminate the relevant API keys or account, without prejudice to our other rights.
2.4. If you become aware of any unauthorised use of your account or API keys, you should notify us promptly at lily@linkova.net and reset the affected keys in the console, and we will take reasonable measures to assist in handling the matter. Charges incurred before you notify us and reset the affected keys remain your responsibility, except as provided in Section 2.2.
Security Reminder: Do not hardcode your API key into front end code, public code repositories, or any location accessible to others. If a key may have been exposed, reset it immediately in the console.
3. Service Content and Usage Rules
3.1. Nature of the Service: the Service aggregates and routes API requests to Upstream Models. We do not develop or train the Upstream Models, and we do not control their algorithms, training data or Output. Each request you make is processed by the relevant Upstream Provider.
3.2. Model Routing: when you call a specific model through the Service, we will route your request to that model as identified in the console, and we will not knowingly substitute a different model without telling you. Upstream Providers may update, rename or withdraw their models, and we may add, change or remove the models available through the Service from time to time.
3.3. Compliant Use: you must comply with all laws and regulations applicable to you and to your use of the Service and Output, including laws on data protection, consumer protection, intellectual property, artificial intelligence and online content in each place where you operate or make your products available. You must also comply with the usage policies of the Upstream Providers that we make available or refer to from time to time.
3.4. Prohibited Conduct: you must not use the Service to:
- Generate or disseminate unlawful or harmful content, including content that promotes terrorism or violent extremism, any content that sexualises minors, sexually explicit content where prohibited by applicable law or Upstream Provider policies, or content relating to unlawful gambling;
- Infringe upon others' intellectual property rights, privacy rights, or other lawful rights and interests;
- Conduct any form of network attack, distribute malware, carry out unauthorised data scraping or unauthorised access, or interfere with or overload the Service;
- Engage in fraud, false advertising, impersonation, or other dishonest conduct;
- Use Output for large scale manipulation of public opinion, automated generation of disinformation, or other conduct harmful to the public interest;
- Circumvent any rate limit, billing, security or usage control, or reverse engineer or attempt to extract the source code of the Service.
3.5. Export Control and Sanctions: you represent that neither you nor any person owning or controlling you is the subject of sanctions administered by the United Nations, Singapore, the United States, the European Union, the United Kingdom or any other applicable authority, or is located, organised or ordinarily resident in a country or region subject to comprehensive sanctions. You must not use the Service, or permit it to be used, in breach of any applicable export control or sanctions laws.
3.6. Suspension: we may throttle, suspend or restrict your account or API keys where we reasonably believe that you have breached these Terms, that your use poses a security, legal or operational risk to us, other users or Upstream Providers, or where we are required to do so by law or by an Upstream Provider. Where reasonably practicable and lawful, we will notify you and, where appropriate, give you an opportunity to remedy the issue.
4. Intellectual Property, Input and Output
4.1. Our Intellectual Property: we and our licensors own all rights, title and interest in the Service (including software, technology, programs, code, user interface, web pages, text, charts, layout design, trademarks and documentation), including copyright, trademark rights, patent rights, and other intellectual property rights. Except for the limited right to use the Service under these Terms, no rights are granted to you. Without our written authorisation, you may not copy, modify, disseminate, or commercially exploit the above content in any manner.
4.2. Your Input and Output: as between you and us, you retain the rights you have in your Input, and, to the extent permitted by applicable law and the terms of the relevant Upstream Provider, we assign to you any rights we may have in the Output. You may use Output for lawful personal or commercial purposes. You grant us and our affiliates a worldwide, perpetual, irrevocable, royalty free, transferable and sublicensable licence to use, copy, store, modify, analyse, create derivative works from, disclose and otherwise exploit your Input and Output for any lawful purpose, including to provide, maintain, secure and improve the Service, to train, evaluate and develop artificial intelligence models and other products and services, and to comply with applicable law. This licence survives termination of these Terms and closure of your account. You represent that you have all rights necessary to grant this licence. Please do not submit any content that you are not entitled to license to us on these terms or that you do not wish to be used in this way.
4.3. You acknowledge and understand that, in some jurisdictions, purely AI generated content may not be protected by copyright under current law, that the ultimate ownership of rights depends on local legal provisions and the degree of originality of the content, and that Upstream Models may generate the same or similar Output for other users. You should assess the relevant risks on your own.
4.4. Feedback: if you provide suggestions or feedback about the Service, we may use them freely without any obligation to you.
5. Disclaimer and Limitation of Liability
Important Disclaimer: The Service is provided on an "as is" and "as available" basis. Output is generated by Upstream Models and may be inaccurate, incomplete, biased or inappropriate. To the maximum extent permitted by law, we make no express or implied warranty as to the accuracy, legality, quality or fitness for purpose of any Output, or that the Service will be uninterrupted or error free. You should independently review Output before relying on it.
5.1. To the maximum extent permitted by law, we are not liable for the following circumstances:
- Erroneous, harmful, or inappropriate Output generated by Upstream Models due to algorithmic defects or training bias;
- Service unavailability or degradation caused by Upstream Providers, network failures, third party services (such as payment and login providers), regulatory changes or other events beyond our reasonable control;
- Consequences arising from your use of Output in high risk domains such as medical, legal or financial matters, or decisions affecting the rights of individuals, without appropriate human review;
- Losses caused by malicious acts of third parties or your own operational errors, subject to Section 2.2.
5.2. Price References: any reference on our website or console to the official or list prices of Upstream Providers is for information only, is based on information available to us at the relevant time, and may not reflect the latest prices or any discounts available to you directly from those providers.
5.3. Exclusion of Indirect Losses: to the maximum extent permitted by law, we are not liable for any loss of profit, revenue, business, goodwill or data, or any indirect, special or consequential loss, arising out of or in connection with these Terms or the Service.
5.4. Liability Cap: To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the service fees actually paid by you to us within the three (3) months prior to the event giving rise to the claim, and (b) one hundred US dollars (USD 100).
5.5. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
5.6. Indemnity: you will indemnify us and our affiliates, officers and employees against third party claims, and the resulting losses and reasonable legal costs, to the extent arising from your breach of these Terms, your Input, your use of Output, or your applications' or end users' use of the Service.
6. Service Changes and Termination
6.1. We may adjust, suspend, or terminate part or all of the Service, and will notify you reasonably in advance via announcement on our website or console or by email, except where an immediate change is required for security, legal or Upstream Provider reasons.
6.2. You may close your account at any time. After account closure, we will process your data in accordance with the Privacy Policy. Closing your account does not entitle you to a refund of unused Balance, except as provided in Section 7.4.
6.3. If you materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within seven (7) days after our notice, we may terminate the Service. We may terminate immediately for fraud, unlawful use, or breach of Section 2.3, 3.4 or 3.5. On termination for your breach, we may deduct from your unused Balance any amounts you owe us and any losses we incur as a result of the breach, and refund the remainder; however, we will not refund any Balance where the termination results from fraud, unlawful use or breach of Section 3.5, or where a refund is prohibited by law.
6.4. If we terminate your account for reasons other than your breach, or discontinue the Service entirely, we will refund the unused Balance in your account.
6.5. Sections 4, 5, 6, 7 (for amounts owed), 8 and 11 survive termination.
7. Fees and Billing
7.1. The Service uses a prepaid, pay as you go billing model with no subscription or monthly fee. You top up your Balance in advance, subject to the minimum top up amount shown in the console, and usage fees are deducted from your Balance as you make API calls, based on token usage and the prices published in the console at the time of each call.
7.2. Prices and Balance are denominated in US dollars. Payments are processed by our third party payment processor (currently Stripe) under its own terms, and we do not store your full card details. Unless otherwise stated, prices are exclusive of applicable taxes; if we are required to charge GST or any similar tax, it will be shown at checkout.
7.3. We may adjust pricing. Price increases will be announced at least seven (7) days in advance, except that where an Upstream Provider increases its price on shorter notice, we may adjust our corresponding price from the same time and will update the console promptly. The price in effect at the time of each API call applies, and continued use is deemed acceptance of the new prices.
7.4. Once top up amounts are credited, they are non refundable and non transferable, except where required by applicable law, for reasons attributable to us (such as an incorrect charge), or as provided in Section 6. Refunds will be made to the original payment method where possible.
7.5. If you believe a charge is incorrect, please notify us within thirty (30) days of the charge, and we will review it in good faith. Usage records generated by our systems will be used as the basis for billing, unless shown to be in error.
7.6. If a payment is reversed or charged back, we may suspend your account until the matter is resolved and deduct the reversed amount and any related fees from your Balance. We encourage you to contact us first so that we can resolve any issue directly.
8. Privacy and Data
8.1. We process your personal information in accordance with the cheapaimodel Privacy Policy available at cheapaimodel.ai/privacy, which forms part of these Terms.
8.2. Upstream Processing: to provide the Service, your Input is transmitted to the relevant Upstream Provider and the Output is returned through our systems. Upstream Providers process Input and Output under their own terms and privacy policies, which may involve processing and storage in other countries, including the country where the Upstream Provider is based. You are responsible for choosing models that are appropriate for the data you submit.
8.3. Call Logs: your API call metadata (such as model, token counts, cost, time and IP address) will be retained for billing, security auditing, dispute resolution and compliance purposes, for a retention period not exceeding [nine (9)] months unless a longer period is required by law or for an ongoing dispute. Input and Output may be retained and used as described in Section 4.2.
8.4. Your Responsibility: if your Input contains personal data, you are responsible for ensuring that you have a lawful basis and have given any required notices and obtained any required consents, including for the purposes described in Section 4.2 and under the Personal Data Protection Act 2012 of Singapore where applicable. You should not submit sensitive personal data unless it is necessary and lawful to do so.
8.5. We do not sell your personal data. Any personal data contained in your Input or Output will be handled in accordance with the Privacy Policy and applicable data protection laws.
9. Changes to these Terms
9.1. We may update these Terms from time to time. We will notify you of material changes by email or through the console at least seven (7) days before they take effect. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not accept a material change, you may stop using the Service and close your account before the change takes effect, in which case we will refund your unused Balance.
10. Force Majeure
10.1. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, governmental action, power or network failures, and interruptions of Upstream Providers or other third party services. This Section does not excuse your obligation to pay for Service already used.
11. Governing Law and Dispute Resolution
11.1. These Terms are governed by and interpreted in accordance with the laws of Singapore.
11.2. For any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve it through amicable negotiation within thirty (30) days after written notice of the dispute. If negotiation fails, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC then in effect. The seat of arbitration shall be Singapore, the tribunal shall consist of one (1) arbitrator, and the language of arbitration shall be English.
11.3. The arbitral award is final and binding on both parties. Nothing in this Section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
12. General
12.1. These Terms, together with the Privacy Policy and any pricing published in the console, constitute the entire agreement between you and us regarding the Service.
12.2. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, reorganisation or sale of assets, upon notice to you.
12.3. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. No person other than you and us has any right to enforce these Terms.
12.4. These Terms are written in English. If these Terms are translated into another language, the English version prevails in case of any inconsistency.
